Have you registered for Company Secretary (CS) Foundation Programme & not doing College, then also register for Bachelor of Commerce with Major in Corporate Affairs and Administration (B.Com CA & A) by paying Rs.4,800/- at the time of admission to get a degree from Indira Gandhi National Open University simultaneously on passing CS Executive Programme (i.e) On passing of the the Foundation Programme and Executive Programme of ICSI, students get exemption in all those courses of B.Com (CA&A).

 

Have you registered for Company Secretary – CS Executive Programme & also a graduate from College or Institute, then also register for Master of Commerce in Business Policy and Corporate Governance (M.Com BP&CG) by paying Rs.6,000/- at the time of admission to get a degree from Indira Gandhi National Open University simultaneously on passing CS Professional Programme (i.e) On passing of Professional Programme of ICSI, students get exemption in all those courses of M.Com (BP & CG).

An electronic version of the Prospectus is also available on below mentioned links.  The application form can be downloaded from the links below and the duly filled in form to be submitted to Regional Director Concerned on or before the last date, i.e. 30th June, 2009 and 31st October, 2009 for July 2009 and January 2010 sessions respectively. In such a case, candidates are required to pay an additional amount of Rs.400 by way of separate demand draft drawn in favour of IGNOU payable at city where the admission form is being submitted.  A printed copy of Student Handbook and Prospectus would be sent to such candidates separately.

THE ICSI 6th ALL INDIA NATIONAL MOOT COURT COMPETITION 2008 - RELIVE Co.LTD case

Yes, r u ready to answer these questions..........

 

1.      RELIVE Co.LTD countered the petition on the following grounds, among others:

(1)   RELIVE was under no obligation to pay the alleged debt, if any, as all obligations pertaining to the said contract had been transferred to RELAY Co. LTD by virtue of the demerger.

(2)   Further, the alleged debt was one in respect of which, a bonafide dispute had been raised by RELIVE CO.LTD.

(3)   The machinery of winding up was being used by PL. to coerce the company into making payment of the alleged debt, which RELIVE is under no obligation to pay.

2.      PL.'s contentions, among others, were as follows:

(1)   By terminating the contract, RELIVE had confirmed that it was the relevant party to the contract and therefore, all remedies for PL. lay against RELIVE.

(2)   There was no bonafide dispute, as the liability remained undisputed till the date of demand under Section 434(1) (a). This dispute was merely raised for the purpose of covering up the Company's inability to meet its payment obligations.

(3)   The Company was unreasonably refusing to pay the debt without just cause and with malafide intentions and therefore, the Court could order winding up in such instances.

Just remmember, The eloquent man is he who is no eloquent speaker, but who is inwardly drunk with a certain belief.

 

So, read the case as many times as possible.

6. Try creating interesting charts, audios, videos out of CS, circulate among frens to get critical reviews and make it as interesting as possible; v have already seen AGM's, declaration of dividend, in-camera court & more in movies including GURU by Guru Mani Ratnam.
7. Mergers are Marriages, Demergers are Divorces; Marriages involves various types of Takeovers also like Friendly Takeover, Bail-out Takeover,.... Birthday's are AGM's where you may invite all the shareholders and declare dividend to your shareholders, and never ending.
8. Company is a being; "Brains" are the Board (aka Board of Diretors), "Body" is the Shareholders, Your "Cap" is the Managing Director and what not....
9. Everything is easy in life, but you have to work smart (aka hard) to make it more easier & lovely. Your CS Study Materials are excellent treasures which many would not even have an opportunity to see; You will find all the acts, rules, regulations, including things in the international arena which packs you with a knowledge of everything, after which you will feel everything in the world is yours, then the actual interests begins...
10. CS professionals meet the variety of works that you can't imagine, it varies according to the Industries you work, Professionals you interact, Ministries you deal with, .....the ultimate joy of working independantly in tandem with the latest developments, update every one around you.....Yes, v make things happen everywhere whether its practice/employment.
